02Thesis, Anti-Thesis & Variant View

Investment Thesis

Rambus sells semiconductor products and, on the evidence of a margin near 70% with net cash of ~$0.1B and very little capital intensity, earns most of its money the way an intellectual-property licensor does rather than the way a fab-owning manufacturer does. Its customers sit across the memory and computing supply chain in Taiwan, South Korea, Japan, Singapore and the United States, so demand tracks the semiconductor cycle and, within it, the memory content going into datacentre systems. At $86.89 on 9 September 2026 the shares are fairly valued against the triangulated $92.66 (+7%) on roughly 21x forward earnings, with a twelve-month anchor of $100 and a BUY that follows from how little separates them; the quote sits in the lower half of a 52-week range whose high is nearly three times its low, so the market has plainly not settled on which cycle this is. The variable that decides the outcome is content growth per system — whether each generation of datacentre hardware needs more of what this company licenses. The most damaging risk is policy rather than demand: export controls decide which customers may buy at all, and a licensing model resting on a handful of large licensees cannot replace one that is cut off.

Anti-Thesis (The Real Bear Case)

The bear mechanism is the step function under a licensing model. Royalty and licence revenue does not decline gradually; it renews in blocks, so one large licensee choosing not to renew, or renewing on worse terms, removes a slab of very high-margin revenue with no volume warning beforehand. Export controls make this qualitatively worse rather than merely riskier, because the decision is taken by a government rather than by a customer: a restricted market is not a market that can be won back with a better product. Underneath sits the semiconductor cycle itself, where the demand signal is amplified by inventory — when customers stop building ahead, unit shipments fall further than end demand and the correction runs for several quarters. The Information Technology — Semis house view calls that state Semi Downturn — AI-Capex Digestion / China. The model's structural branch combines the two and resolves at well under half the current quote, below the past year's low, and the path there needs no better technology to be invented — only for the licensing base to shrink.

Key Debate

P/E Multiple explains 84% of Monte Carlo outcome variance — i.e. value is set by the multiple the market will pay, a rate/sentiment regime bet as much as an earnings bet.

What the Market Is Pricing In

At the current price, the market pays 28.6× consensus forward EPS, vs the house DCF terminal 20.0×, and a peer median 44.0×. The house DCF sits 0% above spot, so the market is pricing in less than the house case — roughly 0.1pp of revenue CAGR.

Variant perception: the house view is below-consensus, and the thesis is primarily margin-driven.

03Scenario & Valuation

Scenario Analysis

The scenario tree spans a structural 'Structural — AI-Capex Digestion / China / Export Controls' downside ($44.14) to a 'Bull — Supercycle Re-Rate' bull case ($178); the probability-weighted blend (PWEV $100) is +15% versus spot.

Scenario Probability Target Return vs spot
Structural — AI-Capex Digestion / China / Export Controls 20% $44.14 -49%
Cyclical Downturn — Inventory Correction 17% $74.96 -14%
Base — Mid-Cycle + AI Content 35% $104 +20%
Upcycle — AI / Datacenter Demand 20% $141 +62%
Bull — Supercycle Re-Rate 8% $178 +104%
Probability-Weighted (PWEV) $100 +15%

Share-count charge: none applied. The probability-weighted value above is the gross per-share figure — no annual dilution is deducted — stock-based compensation runs at 7.7% of revenue; free cash flow net of SBC is $0.28B. SBC is therefore disclosed, not charged: read the per-share figures as before dilution.

Scenario rationale — the driver path behind every target:

  • Structural — AI-Capex Digestion / China / Export Controls (20%, $44.14). Structural impairment — AI-capex digestion / China / export controls: earnings AND the multiple compress together. Target sits below the 52-week low by construction.
  • Cyclical Downturn — Inventory Correction (17%, $74.96). Cyclical downturn — chip demand (AI/datacenter, auto, mobile) + the semi cycle + China / export controls weakens for 1–2 years before normalising.
  • Base — Mid-Cycle + AI Content (35%, $104). Mid-cycle — normalised chip demand (AI/datacenter, auto, mobile) + the semi cycle + China / export controls; disciplined capital allocation; steady returns.
  • Upcycle — AI / Datacenter Demand (20%, $141). Upside — AI + datacenter demand supercycle lifts earnings above mid-cycle; the multiple expands modestly.
  • Bull — Supercycle Re-Rate (8%, $178). Upside tail — sustained tight conditions or a structural re-rate on AI + datacenter demand supercycle.

Valuation Triangulation

Three weighted anchors — an intrinsic dcf, a scenario-weighted pwev and a monte carlo median (student-t + regime switching) — read them with their basis in mind. The Monte Carlo, the DCF terminal and any peer re-rate key off a market multiple, so they are not fully independent; only discounted cash flows themselves are genuinely multiple-free. The discipline is to read the spread and weight the cash-based view, not to treat three numbers as three independent votes.

Method Basis Fair Value vs Spot Weight in this name's blend
Monte Carlo median (Student-t + regime) multiple $92.52 +6% 20% (declared 15%)
Peer EV/Revenue re-rate multiple $67.34 -22% 0% — cross-check only
Scenario PWEV multiple $100 +15% 33% (declared 25%)
DCF (5-year + terminal) cash flow + terminal × $87.26 +0% 47% (declared 35%)
Triangulated (weighted) $92.66 +7% 100%

The house blend DECLARES five anchor weights — DCF 35%, scenario PWEV 25%, Monte Carlo 15%, sum-of-parts 15%, peer re-rate 10%. For this name sum-of-parts, peer P/E re-rate are not computed, so 25% of the declared weight is redistributed across the anchors that exist — which is why the weights above differ from the declared ones. The fair value is unaffected by this disclosure; the blend has always worked this way.

Peer EV/Revenue re-rate — 0% weight: it duplicates the peer-multiple information already carried by the Peer P/E anchor while ignoring margin mix; weighting both would double-count the peer view. Shown as a cross-check.

Monte Carlo — the outcome distribution

10,000 paths, Student-t shocks (fat tails) with a regime-switching overlay. The median lands at $92.52 and 56% of paths finish above spot. The variance decomposition shows the p/e multiple is the dominant swing factor (84% of variance). Value is a multiple bet: fundamentals move the answer far less than the rating does.

Monte Carlo distribution. Median $92.52; P(price > current) 56%. P10–P90: $53.14–$152.

DCF — the cash-flow anchor

Independent of the market multiple: a 5-year path, WACC 10.0%, 20.0x terminal FCF multiple → $87.26. This anchor is deliberately the heaviest (47%): it is the valuation least hostage to the current multiple regime.

Independent DCF. WACC 10.0%, 20.0x terminal → $87.26.
Independent DCF. WACC 10.0%, 20.0x terminal → $87.26.

Peer benchmarking — relative value

Against the peer cohort, re-rating to the peer-median EV/Revenue multiple implies $67.34; the peer-median forward P/E is 44.0x, but the engine carries no P/E-implied price for this name (no forward-EPS basis at the peer step). A premium is only justified by superior growth/margins; otherwise it is multiple risk. Excluded from the weighted blend — shown only as a market cross-check.

Cross-sectional peer benchmarking. Peer-median EV/Rev re-rate → $67.34 (peer-median fwd P/E 44.0x; no P/E-implied price).
Cross-sectional peer benchmarking. Peer-median EV/Rev re-rate → $67.34 (peer-median fwd P/E 44.0x; no P/E-implied price).

Across all anchors the spread is 36% of the median — wide (genuine disagreement — the blend carries low valuation confidence).

Reasons the Thesis Could Fail (Falsifiable)

Pre-registered signals that would break the thesis — each polices a specific scenario boundary and is checked at every earnings update:

  • Organic revenue growth / order backlog < flat-to-negative for two consecutive quarters (2 consecutive prints). Sustained demand rollover breaks the base case toward the recession scenario.
  • FY revenue ($B) < 0.75 (next reported fiscal year). (rationale withheld pending re-authoring — frozen figure or verdict)
  • Probability-weighted fair value (PWEV) at the next re-run < 86.89 (any scheduled re-run). (rationale withheld pending re-authoring — frozen figure or verdict)

  • INFERENCE: Triangulated FV $92.66 (+7% vs spot · triangulated FV); the rating tracks the Monte-Carlo + scenario-PWEV core; the cash-flow anchor sits below the multiple-discipline core.
  • SPECULATION: At current prices the embedded bet is that the market keeps paying the current multiple through the capex cycle — a regime call the engine cannot verify from fundamentals alone.

70.8/100 (confidence band 59.3–82.4), 93rd percentile of 893 covered names (as of 2026-09-08). Weighted composite under config ros-1.20.0 — every component and its inputs below.

Probability-Weighted Return Profile

Horizon: 1 year — at this horizon CAGR equals total return by definition. Expected values are the probability-weighted sums over the full scenario set below.

Scenario Probability Target Total return Contribution
Structural — AI-Capex Digestion / China / Export Controls 20% $44.14 -49.2% -9.8pp
Cyclical Downturn — Inventory Correction 17% $74.96 -13.7% -2.3pp
Base — Mid-Cycle + AI Content 35% $104 +19.8% +6.9pp
Upcycle — AI / Datacenter Demand 20% $141 +61.8% +12.3pp
Bull — Supercycle Re-Rate 8% $178 +104.3% +8.3pp
Aggregate Value
Expected return (gross, 1y) +15.5%
Expected return net of SBC dilution +15.5%
Outcome dispersion (σ, from MC p10–p90) 44.5%
Expected Sharpe (rf 4%) 0.26
Downside expectation (prob-weighted loss branches) -12.2%

The gross expected return is the probability-weighted scenario return (it reconciles to the gross PWEV); the diluted figure applies the SBC share-count charge and matches the published PWEV-based target.

Expected Alpha

Expected return minus the return this name is REQUIRED to deliver for its risk (1-year horizon). Constants are pre-registered (preregistered-static (amendment #2, 2026-07-29); not fitted to MCH outcomes).

Component Value
Expected return (gross, 1y) 15.5%
Risk-free rate 4.12% (1y proxy (3m/2y midpoint; AV lacks a 1y tenor), as of 2026-09-03)
Beta (shrunk, 1y vs SPY) 2.68 (as of 2026-09-08)
Equity risk premium 4.5%
Size/liquidity premium +100bp
Required return 17.2%
Expected alpha -1.7%
Alpha per unit risk (EA/σ) -0.04

A negative expected alpha does not change the rating — it says the expected return does not clear the risk-adjusted hurdle at today's price. Rating mechanics are unchanged by this section.

Probability Cross-Checks

Not authoritative. The scenario probabilities in this report are AUTHORED — a judgement about how the world might go, not a measurement. Nothing below modifies them, the target, the rating or any position size. These checks ask only whether anything outside our own model agrees with us; where it does not, that is information for the reader, not a correction we have quietly applied.

Cross-check Ours Comparator Reading
Scenario spread vs options market 45.3% (1σ) 49.6% implied broadly consistent with the market's implied uncertainty
Mass above spot: scenarios vs our own MC 63.0% 56.2% the two expressions of our own view agree
Realised scenario frequency 34 dated anchors 34 dated anchors available; realised-vs-prior comparison is now meaningful.

Authored set: 5 scenarios, probabilities summing to 1.0, mean target $100.32.

Options Intelligence

Preferred structure: Long Stock. The selector reads the equity view (direction) and the volatility surface — nothing here re-prices the chain.

  • bullish with fairly-priced options — own the stock; a poor-man's covered call is a leveraged alternative
  • Direction bullish from the overlay conviction/rating (read-only input).
  • IV/RV at the 47th percentile of the cross-section → mid vol bucket. This is the measure that selects the structure above: it ranks how rich this name's implied vol is against its own realised vol, relative to other names.
  • Reported alongside and not used to select: this name's own ATM IV sits at the 67th percentile of its own month-end history (decile 7). The two measures disagree here — vol is high for this name by its own history while its options are not unusually rich against its realised vol. Where they diverge, the cross-sectional measure is the one acting.
  • IV term structure is in contango (longer-dated richer, slope +8.8pp) — favour longer-dated ownership (LEAPS) or calendars that are long the cheaper front.
  • No live-chain Long Stock was priced for this name — shown as the indicated strategy; size against a freshly pulled chain.

IV term structure (contango, slope +8.8pp): 38-DTE 64% · 73-DTE 73% · 500-DTE 73%

No live-chain Long Stock was priced for this name — shown as the indicated approach; size against a fresh chain.

Alternatives: Call Debit Spread. IV rank shown via the name's own monthly IV history (advisory); structure selected on the cross-sectional IV/RV percentile. Options Overlay

A defined-risk way to express the BUY equity view. Chain as of 2026-09-08 — end-of-day marks — indicative, not executable quotes.

Market signals — ATM IV 63.9% (moderate regime) · expected move ±16.0% (2026-10-16) · put/call OI 0.77 · ATM Δ 0.59 / Θ -0.09 / ν 0.11 · next earnings 2026-10-26. Direction: LONG (implied return +6.6% to triangulated fair value $92.66).

Bull Call Spread (Bullish) — Long 85 C / Short 100 C · 2027-02-19 · net debit $5.45 · max profit $9.55 · breakeven $90.45 · RoR 175.0% · max loss $5.45 · priced from the listed chain (EOD marks)

Defined-cost leverage to the fair-value gap: the debit is the entire downside, in exchange for participation between the strikes — directional exposure at a fraction of the outright call premium. Illustrative — no outcome is implied or guaranteed.

Long Call (LEAPS) (Bullish) — Long 85 C · 2027-02-19 · premium $17.35 · breakeven $102.35 · max loss $17.35 · priced from the listed chain (EOD marks)

Pure defined-risk directional exposure — the premium is the whole downside while the full upside is retained. A capped, known cost as an alternative to owning the shares outright.

Put Spread (income) (Bullish / income) — Short 80 P / Long 75 P · 2026-10-16 · net $1.5 · net entry $78.50 · yield 1.9% · RoR 43.0% · max loss $3.50 · priced from the listed chain (EOD marks)

Gets paid to wait for a lower entry, with the tail capped: the sold put collects premium while the cheaper long wing below it caps the maximum loss at the spread width — a defined-risk alternative to a naked cash-secured put.

Indicative options structures — a defined-risk expression of the equity view, model-and-market illustrated from the last-close chain. NOT personalised advice or an executable quote; premiums, IV and greeks move intraday. Options carry the risk of total loss of premium. Not a registered financial adviser.

Rating Bridge

Rating = BUY because:

  • Probability-weighted scenario value implies +15% vs spot
  • Monte Carlo median implies +6% vs spot
  • DCF fair value implies +0% vs spot — but this is terminal-value sensitive (exit-multiple $87.26 vs Gordon $65.67, 25% apart), so it carries less weight
  • Bear case (Structural — AI-Capex Digestion / China / Export Controls) downside is -49% vs spot
  • Net: reward/risk of 0.1× supports a Buy — note this is below 1.0×, i.e. the modelled downside exceeds the modelled upside despite the Buy rating.

FY+4 $1B $1B $0B $0B $1B $0B
FY+5 $1B $1B $0B $0B $1B $0B
Terminal $1B × 20.0x $7B

FCF is bridged: NOPAT + D&A − Capex − ΔNWC (capex intensity 10% of revenue, weighted from the segments) — not a single conversion fudge.

WACC 10.0% · Σ PV(FCF) $2B + PV(terminal) $7B = EV $9B; + net cash $0.1B → equity $10B ÷ diluted shares $0.11B = $87.26/share (exit-multiple terminal).

  • Gordon terminal at 2.5% → $65.67/share — a genuinely non-multiple, cash-based cross-check; the exit-multiple and Gordon values bracket the terminal-value risk.
  • Incremental ROIC on the forecast capex ≈ 37% vs WACC 10.0% → above WACC — the build is value-creative.

  • This report is produced by the MCH Advisory quantitative research engine — valuation, scenarios, Monte Carlo and the decision layer are generated systematically from the disclosed inputs and the archetype/industry driver sets, and reviewed rather than written name-by-name. Every figure reconciles to the appendix and every score exposes its inputs.
  • No suitability assessment has been performed for any individual.
  • Market data may be delayed or inaccurate; figures are as of the analysis date.
  • Model outputs (fair values, targets, scenario probabilities) are estimates and may be wrong.

  • The author or publisher may hold positions in securities mentioned.
  • Users should verify information against primary sources (company filings) before acting.
  • Investing involves risk of loss; there is no guarantee any target price is achieved.
  • Ratings follow a defined research methodology (12-month expected-return thresholds), not individual circumstances.

Forecast record. Across 480 pre-registered anchors, the direction implied by our targets has been right 44.1% of the time — below the 50% a coin flip would give, with a Brier score of 0.266 against 0.25 for that same coin flip (lower is better). The tier-level picture is mixed: sector-relative alpha on SELL calls excludes zero, on BUY calls it does not, and the flattering aggregate is carried by HOLD, which counts as a hit merely for tracking its benchmark. Read the target below with that in mind — and see the full accuracy record. Samples are thin and windows short; nothing here is settled in either direction.
